The Commission formed under the Sri Lanka Telecommunications Act consists of the Secretary to the Ministry (Chairman of the Commission), Director General (CEO), and three members representing fields of Law, Finance, and Management. The Commission Secretariat is responsible for organizing Commission meetings and undertaking duties relating to meeting procedures to be followed and follow-up actions based on the Commission decisions. Secretary to the Commission reports to the Director General and carries out the functions of the Commission Secretariat.

The quorum for a meeting of the Commission shall be three members, one of whom shall be the Chairman of the Commission. The Chairman, in his absence, the Director General shall preside at every meeting of the Commission. All questions for decisions at any meeting of the Commission are decided by the vote of the majority of the Members present at such meeting.
